KANSAS COUNTY APPRAISERS ASSOCIATION

CONSTITUTION


ARTICLE 1

NAME AND OBJECTS

 

SECTION 1. The name of this Association shall be KANSAS COUNTY APPRAISERS ASSOCIATION.

SECTION 2. Its objectives shall be to improve the standards of appraisal practice; to provide a clearing house for the collection and distribution of useful information relating to appraisal practice; to educate the taxpaying public on the true nature and importance of the work performed by appraisal officers; and to engage in research and publish the results of studies; to elevate the standards of personnel requirements in appraisal offices; to elevate the other public and private agencies interested in providing tax administration; and in every proper way to promote justice and equity in the distribution of the tax burden.

SECTION 3. It shall operate a not for profit corporation, known as Institute of Certified Kansas Appraisers, Incorporated, of which the purposes to be conducted and promoted are as follows:

To assist in the training, education, certification, and designation of Kansas ad valorem appraisal personnel.


ARTICLE II

MEMBERSHIP


SECTION 1. REGULAR MEMBERS. Only those persons holding the office of county or district appraiser whose annual dues have been paid may be considered regular members of this Association. Annual dues of regular members shall be determined by the executive board of the Association.

SECTION 2. ASSOCIATE MEMBERS. Associate membership shall be available to persons who satisfy the following criteria and have paid their annual dues:

(1) Any official or employee of any governmental agency or educational institution who is not eligible for regular membership, and/or

(2) Persons who hold a current designation as a Certified Kansas Appraiser (CKA), Kansas Real Estate Specialist (KRES), or Kansas Personality Specialist (KPS), Certified General Real Property Appraiser, Registered Mass Appraiser (RMA), or any other designation recognized by the Kansas County Appraiser's Association. Annual dues of associate members shall be determined by the executive board of the Association.

SECTION 3. AFFILIATE MEMBERS. Any organization, group, or association of public officials, employees and/or citizens interested in the science of valuation and taxation, and who subscribe to the purpose of the Association and wish to become affiliated with it, shall be eligible to become affiliate members. Annual dues and the payment thereof, shall be determined by the executive board of the Association.

SECTION 4. HONORARY MEMBERS. Persons who in the opinion of the executive board have made such distinct contribution to the science of ad valorem appraisal administration that their efforts deserve public recognition shall be eligible to the election as honorary members. Provided, honorary memberships shall be conferred for life and no dues or fees of any kind shall be required. Provided further, not more than two (2) such honorary memberships shall be conferred in any one year, and the total number shall not exceed ten (10) at any time.

SECTION 5. REJECTION. The right to reject any application for membership is hereby reserved to the executive board.

SECTION 6. VOTING RIGHTS. The right to hold office is reserved to regular members exclusively. The right to vote is exclusively reserved for regular members in attendance. One voting right shall accrue to each regular member for each county represented by that regular member.

SECTION 7. SUSPENSION OF MEMBERS. All dues shall be payable annually in advance. Any member delinquent in the payment of dues for a period of six (6) months shall be suspended from membership.

SECTION 8. TRANSFER OF MEMBERS. Whenever the dues of a member are paid by the member’s employer, and the member resigns, retires or otherwise vacates the member’s position during the period for which the member’s dues have been paid, the membership shall be transferred to the successor upon receipt by the association of notice of change.

SECTION 9. MILITARY LEAVE. Regular and associate members in good standing who temporarily leave their position to join the United States armed forces shall retain membership privileges during the time of such service, without further payment of dues.

SECTION 10. REINSTATEMENT. Regular and associate members who have been suspended for non-payment of dues shall be eligible for reinstatement upon the payment of current year’s dues and any reinstatement penalty, as prescribed by the executive board.

SECTION 11. REINSTATEMENT - DESIGNATED ASSOCIATE MEMBERS. If a member has been suspended for more than one year and desires to be reinstated as a designated associate member, the member must pay all unpaid dues and reapply for designation through the Professional Designation Committee. Any resulting membership status shall be considered to be as a new member.


ARTICLE III

EXECUTIVE BOARD


SECTION 1. GOVERNING BODY. The governing body of the association shall be the executive board and shall have the power to pass any resolution or bylaw it may deem necessary to accomplish the purpose of the Association, and which is not in conflict with any of the provisions of this constitution.

SECTION 2. BOARD MEMBERS. For the purposes of conducting business related to the Kansas County Appraisers Association, the executive board will consist of the president, president-elect, vice-president, and past president of the Kansas County Appraiser’s Association and six members in good standing, one from each of the six regional Kansas County Appraisers Associations. For the purpose of conducting business related solely to the Institute of Certified Kansas Appraisers, Incorporated, the Board of Directors shall consist of the aforementioned officers and regional members elected to the executive board.

SECTION 3. QUORUM. For the purpose of transacting official business, a quorum shall consist of not less than six (6) members.


ARTICLE IV

OFFICERS

SECTION 1. SELECTION. At each annual meeting, there shall be elected for a term of one year by the regular members in good standing who are present, a president, a president-elect, a vice-president, and provided further that interim officers shall serve until the first annual meeting.

SECTION 2. VACANCY IN OFFICE. Whenever a vacancy in any office or on the executive board shall occur, the president may appoint any regular member in good standing to fill said vacancy, which shall serve until the next annual meeting. Provided, when the vacancy occurs in the office of the president and president-elect, the vice-president shall call a special meeting for the purpose of electing officers for the remainder of the unexpired term.

SECTION 3. RETIREMENT. Whenever any regular member, holding any elective or appointive position in the association, shall vacate the official public position which made the member eligible for regular membership, the office or position the member holds in the association shall become vacant 60 days thereafter, unless said period such member again becomes eligible for regular membership.


ARTICLE V

DUTIES OF OFFICERS


SECTION 1. PRESIDENT. The president shall be the chairman of the executive board and of the Board of Directors of the Institute of Certified Kansas Appraisers, Inc. and shall preside at all meetings of the members, executive board and/or the Board of Directors held for the purpose of transacting Association and/or Institute business. The president shall have general supervision of the affairs of the Association and Institute and shall see that all orders and resolutions of the executive board and Board of Directors are carried out. The president shall, unless such duty is delegated to some other officer of the corporation by the Board of Directors, sign and execute all documents, checks or other obligations in the name of the corporation. The president shall appoint all committees either of the presidents own initiative or at the request of the executive board or Board of Directors, and perform such other duties as may from time to time be assigned to the president.

SECTION 2. PRESIDENT-ELECT. The president-elect shall exercise all the powers and duties of the president during the president’s absence or inability to act, and shall perform such other duties as may be assigned to president-elect by the executive board or Board of Directors.

SECTION 3. VICE-PRESIDENT. The vice-president shall perform such duties as may be assigned to the vice-president by the executive board or Board of Directors and the president.

SECTION 4. SECRETARY-TREASURER. The secretary-treasurer shall be appointed by the president from among the six regional members on the executive board subject to the approval of the full executive board. The secretary-treasurer shall give or cause to be given all required notices of meetings of the members and of the board. The secretary-treasurer shall record all proceedings at the meetings of the members and of the board in a book to be kept for that purpose, and shall perform such other duties as may be prescribed by the president or the Board. The secretary-treasurer shall have custody of the seal of the corporation and shall affix the same to all documents and instruments when duly authorized to do so and attest to the same. The secretary-treasurer shall also be the chief financial agent of the Association, and shall exercise such authority and perform such duties as may be prescribed by the executive board president. As treasurer, the secretary-treasurer shall have custody of all funds, securities, and legal instruments of the Association, and shall be responsible for their safekeeping. To this end, the secretary-treasurer may, subject to the approval of the executive board, determine the place and manner of depositing and safekeeping of such funds, securities and legal instruments.

 

ARTICLE VI

FUNDS


SECTION 1. DISBURSEMENT. It shall be the duty of the executive board to prescribe by resolution or by-law a method of handling the receipts and disbursing the funds of the Association, and provide for annual audit.

SECTION 2. BONDS. The treasurer, and any other officer, agent or employee of the Association who may be designated by the executive board, shall furnish a bond in such amount and with such sureties as the executive board shall approve. The cost of said bonds shall be paid by the Association, and they shall be deposited and kept as the executive board may direct.


ARTICLE VII

MEETINGS

 

SECTION 1. MEETINGS. The annual meeting of the members shall be held at such time and place as may be determined by the executive board. The executive board shall have its annual meeting immediately following the annual meeting of the members, special meetings of the executive board shall be held on the call of the president or upon request in writing of a majority of the executive board members.

SECTION 2. NOTICE. At least five (5) days notice of the time, place and purpose of all special meetings of the executive board shall be given all members of the executive board by the secretary. Such notices may be given in person or by telephone, telegram, fax, or E-mail sent to the executive board member’s last known address.

 

ARTICLE VIII

NOMINATIONS AND ELECTIONS



SECTION 1. NOMINATING COMMITTEE. The president shall appoint each year, not less than thirty days prior to the annual meeting, a nominating committee, consisting of five (5) regular members in good standing, who shall select not less than one name from among the regular members in good standing as a candidate for each office to be filled at the annual meeting, provided that the nominations which the nominating committee intends to place before the annual conference shall be announced at the annual meeting. Additional nominations may be made from the floor at the annual meeting by any regular member in good standing when election is held.

SECTION 2. QUORUM. For the purpose of transacting official business, a quorum of the nominating committee shall consist of not less than three (3) members.

SECTION 3. HOLDING ELECTIONS. The manner of holding elections, including the forms to be used, the method of voting, the counting of ballots, and the rules of procedure pertaining thereto, shall be prescribed by the executive board; provided, however, that in the event of contests for any elective office or post, election shall be by secret ballot.

SECTION 4. ELECTION OF EXECUTIVE BOARD MEMBERS. The members of the executive board, other than the president, president-elect, vice-president and immediate past president, shall be chosen, one by each of the six regional Kansas County Appraiser’s Associations and certified in writing to the president of the Kansas County Appraiser’s Association on or before the date of it’s annual meeting.. Beginning in 1990, the terms of office for the northwest, northeast, and south central regions shall expire in even numbered years and the terms of office for the north central, southeast, and southwest regions shall expire in odd numbered years. Any regional association failing to certify their board member as before provided shall lose its representation on the executive board until such certification is made.


ARTICLE IX

AMENDMENTS

 

SECTION 1. HOW AMENDED. The constitution may be amended by a majority vote of the regular members in good standing present and voting at the annual meeting of the members, provided that notice of any proposed amendment shall have been sent to all regular members not less than thirty (30) days prior to such meeting.

SECTION 2. HOW PROPOSED. Amendments may be proposed either by initiatory petition signed by not less than 10% of the regular members or by resolution of the executive board. Such petition or resolution shall be placed in the hands of the president who shall within the time herein before prescribed notify all regular members that such proposed amendment will be voted on at the next meeting of the members.


ARTICLE X

MISCELLANEOUS PROVISIONS

 

SECTION 1. WAIVER OF NOTICE. Any person entitled to vote at any meeting of the executive board may waive notice of such meeting and any action taken thereof shall, upon such waiver, be as valid as though notice had been given.

SECTION 2. INTERIM ACTION. Any action, by-law, or resolution which might be taken or adopted by any meeting of the members of the executive board shall be valid if written memorandum of such action, by-law or resolution is served upon all persons entitled to vote thereon and approved in writing by a majority of such persons. For this purpose, mailing such memorandum to the last known address of the members shall be deemed sufficient service.

SECTION 3. FISCAL YEAR. The fiscal year of the Association shall be from Annual Meeting to Annual Meeting, or as the executive board may direct.

SECTION 4. SAVING CLAUSE. Any resolution or by-law heretofore passed which is not in conflict with any provisions of this constitution shall remain in effect until amended or repealed.

SECTION 5. RECORD DISPOSITION. The executive board shall have the power to dispense or destroy any records they deem advisable over five (5) years of age.

SECTION 6. PARLIAMENTARY AUTHORITY. All meetings of the organization shall be governed by parliamentary law as set forth in Roberts Rules of Order.

SECTION 7. COMMITTEES. The president, subject to the approval of the Board of Directors, shall appoint a standing committee to be known as the Professional Designation Committee. This committee shall consist of a chairman and six members of the association in good standing and who hold a designation. Members of this committee shall serve alternating two year terms.

SECTION 8.   All references to the annual meeting within constitution shall hereby be defined as the fall meeting.
